FAQ

A used software license is basically available for selling.
Used software is available for selling in the European Union. This also applies to Switzerland. Art. 12 II of the Swiss Federal Law on Copyright and Related Rights (URG) states that once the consent of the author is obtained in the first sale of software, he also gives tacit consent for the resale of used software. The cantonal court has a similar tenor in which according to the verdict of May 4, 2011 against the software company Adobe, agreed that the selling of used software was also allowed. (Cantonal Court Az. ES 2012, 822). Legal doctrine also states that this legal concept is indisputable. As explained by Prof. Dr. Cyrill Rigamonti from the University of Bern in a journal article, the trade of used software is compatible with Swiss copyright laws. (GRUR Int. 2009, 14ff.)
The objective of purchase is the right to use the software. Legally, it's about a legal purchase.
There are no shortcomings to the initial purchase, and the buyer of used software licenses is entitled to all services related to the software.
No further proof is needed. After the first sale is made, the free tradability of these licenses can be executed without needing any additional proof. However, serious sellers like us show the corresponding supply chain of all licenses. The legal purchases are only effective if the corresponding sold rights actually exist. When purchasing with us, customers will have no surprises when acquiring a license with existing rights of used software, with a proven supply chain.
Yes, it is legal to use parts of, for example, a Microsoft Volume Licensing Agreement and resell it separately. The prevailing legal opinion does not see any legal problems. That's how it was decided by the Munich district court judgment of April 4, 2008 to Az. 30 O 8684/07. Yes, it is legal to use parts of, for example, a Microsoft Volume Licensing Agreement and resell it separately. The prevailing legal opinion states that there are no legal issues when attempting said sales. This was the decision of the Munich district court judgment of April 4, 2008 (Az. 30 O 8684/07). According to this ruling, the resale of individual used Microsoft software licenses from a volume license agreement does not require further approval from Microsoft. The district court decided that parts of a volume license contained within a master CD were single licenses, and not just copying rights, as Microsoft was trying to prove. The verdict of the district court of Munich aligns with a judgment of the regional court of Hamburg, where it was decided in 2006 that the sale of used software licenses under volume agreements was also lawful (LG Hamburg Az. 315 O 343/06). The starting point of this decision is the time of the copyright exhaustion, which the LG Hamburg regarded as having already occurred with the first sale of the volume license. Microsoft cannot waive this copyright exhaustion as a mandatory right by appropriate contractual terms.
No, there is no legal obligation to do so. Even though manufacturers are specified in all licenses due to the copyright exhaustion of the right of disposal, there is no legal obligation to register with them afterward.
No, there is no further consent necessary for resale. After the first sale is made, the power of disposal over the software from the author is exhausted so he can't condition the resale. The corresponding terms of the contract, for example, in the General Terms and Conditions of Business Authors are legally ineffective.
Used software licenses may be sold within and outside the EU.
This term usually generates questions and confusion. The term "used" tends to refer to the wear of items. Like any other product, the software becomes used after the first sale. However, software has the advantage that it is not subject to wear. The installation and use do not impart wear to the software, but instead, the software becomes by definition used; therefore, used software is just as high quality as new software. For companies, this offers a good opportunity to own Licenses and reduce costs.
Used licenses usually come from companies that are no longer using them for many reasons. Reasons for this could be due to consolidation or mergers or that the company simply no longer requires said software. Additionally, systems could change within the company or incorrect planning could occur, leading to used software licenses becoming available in the market. Even if a company ceases to exist, the licenses could go to a liquidation sale on the market.
